On its part SI DiR do es its best to pre vent this un der stan ding from tur ning in to idle talk, emp ty smi les and vi si ting each other at con fe ren ces. Du ring the an nu al FI DIC Con fe ren ce held in Ca na da last Sep tem ber the QBS ab bre via tion was men tio ned in all sorts of con te xts. QBS stands for Qu ali ty Ba sed Se lec tion. Of co ur - se, one mi ght say that it is obvio us. Well, it is not. What s mo - re it is the ma in pro blem fa ced by the en gi ne ering com mu ni ties al most in all co un tries. Both the de ve lo ped and de ve lo ping ones. The ho sts of the Con fe ren ce pro udly men - tio ned on se ve ral oc ca sions that last Ja nu ary the par lia ment of Qu ebec ad op ted a law in tro du cing the QBS sys tem in to the lo cal le gi sla tion. Our As so cia tion has re pre sen ted the com mu ni ty of Con - sul ting En gi ne ers for 30 years and all that ti me has con si sten - tly opted for so lu tions that wo uld re sult in im pro ve ment of the en gi ne ering se rvi ces, a bet ter qu ali ty of pro jects, pro fes sio - nal ma na ge ment of con struc tion pro jects, and a bet ter qu ali - ty of bu il ding ope ra tions and fi ni shed struc tu res. An ail ment af fec ting a sub stan tial num ber of po li ti cians and con si sting in the fact that the ir sharp ness of vi sion de te rio ra tes dra ma ti cal - ly or even di sap pe ars al to ge ther after the elec tions is a se rio - us pro blem. The re fo re our qu estion: Whe re can we ta ke funds from to upgra de the struc tu res and bu il dings suf fe ring cur ren tly from po or work man ship? do es not cau se any stir. The EU shall not gi ve us mo ney for the sa me pur po se twi ce. The Pu blic Pro cu re - ment Law de fi nes the prin ci ples and pro ce du re of gran ting pu blic pro cu re ments, the me ans of le gal pro tec tion, the con trol over the gran ting of pu blic pro cu re ments and the go vern men tal bo dies com pe tent to han dle the is su es re gu la ted in the PPL Act. If the ob - li ga tion to ap ply the Pu blic Pro cu re ment Law is not ful fil led and a pro cu re ment is gran ted wi tho ut the sta tu to ry pro ce du re be ing fol lo wed the con tract is con se qu en tly null and vo id. In pu blic pro cu re ments the Ge ne ral Part of the FI DIC Con - di tions of Con tract is ap plied as a stan dard pro ce du re (con trac - tu al con di tions) in im ple men ta tion of pu blic pro jects and tho se co -fi nan ced from the Eu ro pe an funds. The com plian ce of the pro vi sions con ta ined in the Con di tions of Con tract with the Po - lish le gi sla tion, espe cial ly the Pu blic Pro cu re ment Law Act and the Ci vil Co de, is of si gni fi cant im por tan ce in this con text. De - scrip tion of the pro cu red go ods or se rvi ces is the se cond most im por tant do cu ment in the hie rar chy of con trac tu al do cu ments. The Em ploy er is ob li ged to de scri be the pro cu red go ods or se - rvi ces prior to gran ting the pro cu re ment. The Em ploy er must know in ad van ce what they want. All the si gni fi cant ri ghts and ob li ga tions of the par ties to a pu blic pro cu re ment con tract must be spe ci fied unam bi gu ously. The ri ghts and ob li ga tions can not be de fi ned just in ge ne ral terms with the in ten tion to spe ci fy them mo re ac cu ra te ly at a la ter da te in the co ur se of im ple men - ta tion of the pro cu re ment con tract. This prin ci ple is ap plied re - gar dless of the ten de ring pro ce du res fol lo wed. The sco pe of the se rvi ces to be pro vi ded by the Con trac tor must re sult from the con tract and be iden ti cal to the Con trac - tor s ob li ga tion as it is for mu la ted in the bid. A pu blic pro cu re - ment con tract is in va lid in its part exce eding the sco pe of the pro cu red go ods or se rvi ces de fi ned in the ten de ring do cu men - ta tion. It ap plies both to the sco pe of the pro cu red go ods/se rvi - ces agre ed at the ti me the con tract re sul ting from the ten der (or ano ther pro ce du re) is si gned, and any sub se qu ent amend - ments to the con tract. The re ason be hind this li mi ta tion is to pre vent the cir cu mven tion of the pro ce du re re sults. The re are not excep tions to the ban on exce eding the de scri bed sco pe of the pro cu red go ods and se rvi ces. Par tial in va li di ty (in ef fec ti ve - ness) of the con tract is the con se qu ent sanc tion. Hen ce, if the Em ploy er has fa iled to de scri be the sco pe of the pro cu red go - ods and se rvi ces in a cle ar and exhau sti ve man ner, using suf - fi cien tly ac cu ra te and com pre hen si ble expres sions and ta king in to con si de ra tion all the re qu ire ments and cir cum stan ces that mi ght ha ve an in flu en ce on the pre pa ra tion of the bid (as re qu - ired by the PPL Act), then the bid has be en se lec ted by the Em - ploy er in vio la tion of the PPL Act pro vi sions. As a re sult such a se lec tion do es not le ad to conc lu sion of a va lid con tract and the Em ploy er, as so on as he di sco vers this cir cum stan ce, is ob li ged to dec la re the pro ce du re in va lid. The Pu blic Pro cu re ment Law Act li mits the Em ploy er s fre - edom to amend the con tract. The ge ne ral prin ci ple is that the 12 BIULETYN

concluded contracts are fixed and invariable. Thus, the provisions of the Act do not allow the Employer to make, at their discretion, changes in the scope of the procured goods and services. If the Employer failed to anticipate some circumstances, although they could and should do so, it is not allowed to amend the contractual provisions. If the contract is amended in disregard for the ban it results in the invalidity of the legal action as far as the amendment is concerned. Moreover, the Contractor cannot, without the Employer s consent, make changes in the design documentation on their own because in accordance with the concluded contract the documentation is a part of the contract and any change in the documentation has to be considered as a change in the contract itself. The Polish law in the Public Procurement Law Act makes it possible to grant an additional procurement which has to be closely connected with a correct execution of the original procurement, i. e. an execution which leads to the fulfilment of the basic functional requirements by the procurement in accordance with the Employer s needs. The need to grant the additional procurement must result from a situation which could not be foreseen previously, i. e. a situation which was impossible to be identified at the stage of the tendering documentation preparation with the Employer demonstrating due diligence, provided that it would be impossible to fulfil the original procurement without the additional one. The situation should not result from any omission or negligence by the Employer. A procurement granted as a result of an investment process carried out in an incorrect manner by the Employer shall not be considered an additional one. In accordance with the Public Procurement Law Act it is also possible to grant supplementary procurements to the existing Contractor responsible for the construction work. The procurement of that kind can be granted in a free hand mode within 3 years from the moment the original procurement was granted if it consists in repetition of the orders of the same kind covered by the original procurement and if the supplementary procurement was provided for in the tendering documentation and refers to the scope of the procured goods and services defined in that documentation. The provisions of the Public Procurement Law Act do not regulate the principles of how to determine the level of remuneration in the public procurement contracts and how to account for it in the course of the contract execution process. In this respect the Contractor and Employer shape their contractual relations in line with the general provisions of the civil law. The Employer is obliged to pay the Contractor a remuneration for the work done on the basis of a breakdown of the planned work and expected costs according to the so called Bill of Quantities, or in the form of a contractual lump sum remuneration. The Engineer in the Contract is not a party to the Contract itself. Whenever it is required from the Engineer to act at their discretion they should act impartially regardless of their status of employment. It is only such a person that guarantees an objective assessment of the observance of the contractual provisions. The Engineer can interpret the Contract only in a way it has been written. Therefore any actions carried out by the Engineer who considers themselves to act on behalf of the Employer (exclusively on behalf of the latter) are inconsistent with the intent of the FIDIC Conditions of Contract and result in violation of the Contract. Moreover, the Engineer who fails to observe the provisions of the FIDIC Conditions of Contract has to take into account their own civil liability if they intend to act exclusively in the interest of the Employer to the detriment of the Contractor. In public procurements any changes that the Engineer or the Employer are going to instruct the Contractor to make are subject to the Public Procurement Law Act. Consequently, the Contractor cannot do the work instructed by the Engineer if this work is beyond the scope of the procured goods or services, without amending the Contract or entering into an additional procurement contract, and only the Parties to the Contract are entitled to carry out this latter action. It means that the Contractor is authorised to refuse to do the work which has not been described within the scope of the procured goods or services, or an additional work commanded by the Contract Engineer if the command is not confirmed in writing by the Employer and the procedure consistent with the Public Procurement Law Act is not followed. 13 nr 7/październik 2008

If the re is any chan ge in the facts con cer ning a ven dor, ba sed on which the cer ti fi ca te was is su ed, and which extend the sco pe of its qu ali fi ca tion, the ven dor is en ti tled to sub mit an ap pli ca tion for a chan ge in cer ti fi ca te to the cer ti fi ca tion bo dy. The co un tries of Cen tral Eu ro pe are pre sen tly stri ving to over co me un der the mar ket eco no my con di tions in tro du - ced so me two de ca des ago the con se qu en ces of this he - ri ta ge with sup port of the Eu ro pe an Union first un der the ISPA then un der the Envi ron ment and Ener gy Ope ra ti ve Pro - grams. The co sts of the still out stan ding sa ni ta tion pro jects ha ve be en es ti ma ted at ap pro xi ma te ly HUF 780 bil lion (3 130 mil lion). Mo re re cent envi ron men tal awa re ness of parts of the po pu la tion and the fo re ign com pa nies set tled in the se co un tries has gre atly con tri bu ted to the suc cess of the se pro - grams. In con trast the re to, im ple men ta tion of the se EU -pro mo ted pro grams has be en se rio usly de lay ed by the gra ve eco no - mic si tu ation of the co un try, the low ave ra ge in co me le vels, espe cial ly in the eastern parts of Hun ga ry, in the com mu ni - ties strug gling with high unem ploy ment le vels, which add up to a low abi li ty to pay. Con se qu en tly, the lo cal go vern ment of the be ne fi cia ry set - tle ments is ob li ged to re sort to con si de ra ble cre dit for its con tri bu tion. This has an evi dent im pact on the pri ce of the se rvi ces, which tends to ap pro ach the ave ra ge le vel of pri - ces in the EU Mem ber Sta tes, at in co me le vels sub stan tial - ly lo wer than in the lat ter. 3. Ef fects of Pri va ti sa tion on Lar ge In fra struc tu re Con struc tion Pro jects The first fre ely elec ted Hun ga rian Go vern ment had in he - ri ted an eco no my on the ver ge of ban krupt cy from the com - mu nist re gi me. The lar gest export mar ket, the So viet Union, and lar ge so cia list in du stries ha ve col lap sed, whi le the still we ak do me stic ca pi tal pre fer red in ve st ments pro mi sing short -term re turns. The sta te was for ced to sell its pro per ty in the in te rest of con ti nu ed func tio ning and pre se rva tion of work pla ces. This has in tro du ced ac ce le ra ted, who le sa le pri va ti sa tion, as a re - sult of which 100 % of the ci vil en gi ne ering con struc tion in du - stry and so me 65% of the bu il ding in du stry we re acqu ired by fo re ign com pa nies. At that ti me we ha ve expec ted im pro ved or ga ni sa tion, bet ter qu ali ty and a com pe ti ti ve eco no my free of cor rup tion in the wa ke the re of. By now we ha ve two de ca des of expe rien ce in the pre pa - ra tion and re ali sa tion of con tracts gran ted un der the pu blic pro cu re ment pro ce du res. Mal prac ti ces ha ve per si sted but ama jo ri ty of mi sta kes ha ve mo ved to the pro ject pre pa ra tion sta ge. The be ne fi cia ries we re in te re sted in fi xed -pri ce con - tracts wi tho ut in de xa tion, in the be lief that this wo uld im po - se a curb on ri sing co sts. The pro fit -orien ted con trac tors, on the other hand, ha ve mer ci les sly (and ju stly) explo ited the mi sta kes com mit ted by the Em ploy er in pre pa ra tion and ha - ve sub mit ted a num ber of cla ims to in cre ase the con tract sum. Ad di tio nal pro blems: n Owners ha bi tu al ly un der ra te the co sts and qu ali ty of pro - ject pre pa ra tion. The con se qu en ces of the pre su med sa - vings ap pe ar in the hi gher con struc tion co sts. As re gards the qu ali ty of work man ship this prac ti ce is un - de si ra ble, in that it en co ura ges work at a cost be low the ne - ces sa ry le vel and the in c lu sion of as ma ny as po ssi ble po or ly pa id sub -con trac tors. Bar ga ining and unprin ci pled de alings re la ted to the con tracts exe cu ted at unre ali sti cal ly low pri ces of fer a lot of ro om for cor rup tion, much cri ti ci sed in the co un - tries of Cen tral Eu ro pe, in c lu ding Hun ga ry. It is the re fo re con si de red im pe ra ti ve to find a yard stick by me ans of which the unre ali sti cal ly low bids can be iden ti fied and eli mi na ted in the co ur se of eva lu ation. Se ve ral tech ni qu es ha ve be en ap plied to this end in the in - ter na tio nal prac ti ce, for exam ple the re jec tion of bids which de via te from the ave ra ge by mo re than 30 %. Unfor tu na te ly, such in i tia ti ves ha ve in va ria bly be en fo iled by the Of fi ce of Eco no mic Com pe ti tion. 5. Has the Qu ali ty of Works Im pro ved as a Con se qu en ce of the Chan ge of Owners? The an swer is, alas, de fi ni te ly a ne ga ti ve one in spi te of the fact that the ran ge of con struc tion ma te rials has be co me much wi der and vir tu al ly eve ry thing is ava ila ble at af for da ble pri ces. Apart from the afo re men tio ned de fects of pre pa ra - tion and de sign work, pro blems ari se re pe ate dly with the ac - cu ra cy and to le ran ces of the work per for med and with the qu ali ty cer ti fi ca tes which de lay or even ru in the ac cep tan ce sche du les al to ge ther. Even an ap pa ren tly sim ple pro cess of se wer con struc tion in urban are as ge ne ra tes a num ber of pit falls, e. g. the cho - ice of an ap pro pria te pi pe ma te rial, the ac cu ra cy of pi pe lay - ing, the bed ding and back fill ma te rial of the se wer pi pes, the com pac tion the re of, prompt and set tling -free re sto ra tion of pa ve ments in the in te rest of re -ope ning the stre ets to the traf - fic, just to na me on ly the sa lient ones. Se ve ral of the se pro blems can be eli mi na ted if the En gi - ne er was ve sted with the po wers ac cor ded to him in the FI - DIC sys tem of con trac ting and co uld re ly on an un con di tio nal sup port pro vi ded by the Em ploy er. This sho - uld ap pe ar evi dent, but in the de mo cra tic sys tem pre va iling sin ce 1990 it is so me ti mes in ter fe red with by the men ta li ty in - he ri ted from the pre vio us sys tem. 6. De si gners be twe en Wind and Wa ter in the Pre pa ra tion Pha se of Ap pli ca tion for As si stan ce. It sho - uld be obvio us that the two terms can co in ci de on ly in excep - tio nal ca ses of re la ti ve ly small pro jects. The En gi ne er, i. e. the he ad of the en gi ne ering, fi nan cial and le gal te am su per vi sing the pro ject, is re qu ired to ha ve an ap pro pria te ly do cu men ted and bro ad sco pe of expe rien - ce, co upled with a tho ro ugh know led ge of the FI DIC con - trac ting pro ce du res. If the two afo re men tio ned terms are con fu sed it may le ad to the se lec tion of ap pli cants who do not ful fil the qu ali fi ca tion and re mu ne ra tion re qu ire ments. Con ci se de fi ni tions of such terms as Em ploy er, Con - trac tor and En gi ne er pre sen ted in Clau se 1 of the FI DIC Con di tions of Con tract cle ar ly di stin gu ish be twe en the ir spe - ci fic func tions. All FI DIC bo oks (with excep tion of Gold Bo ok which was pu - bli shed in 2008) we re trans la ted in to Slo ve nian. Owners as well as Con trac tors still lack of per son nel who at - tend FI DIC se mi nars, espe cial ly tho se from the field of con - trac tu al cla ims and di spu tes set tle ment. Be si des, qu ite fre qu en tly, Owners can t de ci de abo ut the most ap pro pria te form of con tract to be used (Red, Yel low, Si lver or Gre en Bo - ok). Whi te Bo ok, the con tract form co ve ring con sul ting en gi ne - ering se rvi ces is ra re ly used sin ce the con sul ting en gi ne ering se rvi ces are usu al ly not co -fi nan ced from the EU funds. Qu ali ty Ba sed Se lec tion (QSB) of a con sul ting en gi ne er is ra re ly used and the prin ci ple of the lo west pri ce pre va ils. Owners in pu blic sec tor who try to launch the QBS prin ci ple and ta ke a con sul ting en gi ne er as the ir tru sted ad vi ser often fa ce nu me ro us pro blems even tho ugh the new Slo ve nian Pu - blic Pro cu re ment Act opens a po ssi bi li ty of QBS in the ter tia - ry sec tor. In the Slo ve nian prac ti ce FI DIC En gi ne er is not used con si sten tly. One of the ob stac les is the Slo ve nian Con - struc tion Act re gu la ting su per vi sion; this is why the Owners no mi na te on ly a su per vi sor. Di spu te Ad ju di ca tion Bo ard (one or three mem bers) is on - ly ra re ly used in Slo ve nian con tracts. In Slo ve nia, the re is still no list of ad ju di ca tors; at the mo ment, it is in co ur se of pre - pa ra tion by NA CES. The re is no prac ti ce with the Di spu te Ad ju di ca tion Bo ard in Slo ve nia. He re, di spu tes are be ing set - tled at Co urt or by ar bi tra tion which is an expen si ve and ti - me -con su ming pro ce du re. In ca se of De sign & Bu ild con tracts, pro blems with pre pa ra tion of de sign do cu men ta - tion ari se. The se pro blems are on both si des. Owners ha ve not eno ugh qu ali fied staff, they do not pro du ce Terms of Re - fe ren ce of suf fi cient qu ali ty and they do not pro vi de ade qu - ate ba sic da ta and in for ma tion. The con se qu en ces bring pro ject de lays, low do cu men ta tion qu ali ty, de lays in gran - ting Con struc tion Per mits, de sign mo di fi ca tions, pro lon ga - tion of de adli nes and pri ce in cre ase re qu ests. The con trac tors ma ke mi sta kes as well; they en ga ge low - -pri ce de sign en gi ne ers, the de sign do cu ments are bad, mo - di fi ca tions and in cre ases in co sts oc cur and they try to turn them over to the Owners ac co unt. In this year, in the pu blic sec tor (ro ads, tun nels, ho spi tals) so me af fa irs had to me et with a wi de re spon se of the pu blic due to in cre ase in co sts, over run of de adli nes and bad qu ali - ty. As a con se qu en ce, two Mi ni sters we re for ced to re sign, i. e. the Mi ni ster of Trans port and the Mi ni ster of He alth. Nu - me ro us ma na gers in pu blic com pa nies we re re pla ced. Pu - blic is qu ite cri ti cal as re gards Slo ve nian en gi ne ering com pa nies which re flects unfa vo ra bly on the go od ones as well. As this is an extre me ly po li ti cal ly expo sed pro blem, the en gi ne ering in du stry har dly de fends its ar gu ments be fo re ge ne ral pu blic. Pu blic sec tor and its of fi cers in char ge har dly ever at tend FI DIC se mi nars and ge ne ral tra ining on the in ve st ment pro - cess. An in cor rect opi nion that all re spon si bi li ties can be trans fer red to con trac tors pre va ils. This re sults in bad com - mu ni ca tion with Con trac tors, de lays in de ci sion ma king and es sen tial ly pro lon ged com ple tion pe riods. Conc lu sion FI DIC con tracts are wi de ly used in Slo ve nia; ho we ver, the re is unfor tu na te ly still a lack of know led ge espe cial ly by the Owners. It co uld not be other wi se be cau se we just used to ha ve eve ry thing cen tra li sed wi thin last 50 years and the Eu ro pe an Com mis sion co uld not tre at us dif fe ren - tly. I am su re this was the first ti me in hi sto ry at the be gin ning of 90-ies whi le for the im ple men ta tion of In fra struc tu re pro - jects the FI DIC (old) Red Bo ok was used. Sub se qu en tly, he stu died in the Uni ver si ty of Ca li for nia, Ber ke ley, whe re he ear ned a Ma ster of En gi - ne ering (1979) and Ph. D. in Ci vil En gi ne ering (1982). In 1989 he fo un ded ECOS Con sul ting S.
