An Introduction List from the Prezesa President Zarządu & CEO Szanowni Państwo, rok 2008 upłynął pod znakiem przygotowań do wdrożenia Nowego Systemu Depozytowo- -Rozliczeniowego (NSDR). Jest to, jak dotychczas, jeden z największych i najważniejszych projektów realizowanych przez Krajowy Depozyt od początku jego działalności. Waga przedsięwzięcia znajduje odzwierciedlenie nie tylko w liczbie zaangażowanych podmiotów, których jest ponad 80, ale także, a może przede wszystkim, w jego znaczeniu dla dalszego rozwoju polskiego rynku kapitałowego. Nowy system zapewni wszystkim uczestnikom jeszcze większe niż dotychczas bezpieczeństwo, gwarancję niezawodności i nowe funkcjonalności, a całemu rynkowi wzrost atrakcyjności na arenie międzynarodowej. Trudna sytuacja związana ze światowym kryzysem finansowym, nie spowolniła prowadzonych od kilku lat przez Krajowy Depozyt prac na rzecz standaryzacji i harmonizacji międzysystemowej kluczowych elementów rozwoju operacji transgranicznych. Przedstawiciele Krajowego Depozytu, podobnie jak w latach ubiegłych, aktywnie uczestniczyli w pracach międzynarodowych organizacji i grup roboczych zrzeszających centralne depozyty i izby rozliczeniowe, których zadaniem jest opracowywanie i implementacja najlepszych standardów w zakresie usług rozliczeniowo-rozrachunkowych. Ladies and Gentlemen, We spent 2008 preparing for the implementation of the new KDPW Depository-Settlement System. This is so far one of the largest and most important projects KDPW has been working on since the founding of the company. The size of the project is reflected not only in the number of entities engaged, which is over 80, but also and perhaps above all, in its significance for the development of the Polish capital market. The new system will provide all KDPW participants with even greater levels of safety than ever before, with guaranteed reliability and new functionality, while making the whole market more attractive internationally. The difficult economic situation caused by the global financial crisis has not slowed down work on standardisation and interoperability between systems, which KDPW has been working on for a number of years and which are the key requirements for the growth of cross-border operations. As in previous years, KDPW specialists played an active role in the work of international organisations and working groups that represent central securities depositories and clearing houses, aimed at formulating and implementing the best standards in clearing and settlement services. 4
5 KDPW is regularly increasing the scope of services it offers, as well as improving existing ones. Projects initiated in 2008 concentrated on several areas. Work started on introducing operational processing of short sales, preparing a comprehensive module for processing securities loans and night settlement that will provide participants access to assets in the early morning of settlement day. One important aspect of settlement risk management was laying the foundations for the implementation of a new integrated risk management system based on SPAN methodology, which is planned to be implemented in 2009. The need for KDPW to introduce a new system for enterprise resource planning led to intensification of work on the introduction of an integrated ERP system. This is an IT system built on a uniform platform which will introduce changes to the way work is organised and improve the efficiency of current process flows. You will be able to find more detailed information on the work and projects that were carried out last year and which I have briefly mentioned above, on the following pages of the Annual Report, which I would now sincerely like to invite you to read. Działania podjęte w tym zakresie w 2008 roku skupiły się wokół kilku obszarów tematycznych. Podjęto prace zmierzające do wprowadzenia operacyjnej obsługi tzw. krótkiej sprzedaży, opracowania kompleksowego modułu pożyczek papierów wartościowych oraz nocnego przetwarzania, zapewniającego uczestnikom dostęp do aktywów we wczesnych godzinach porannych w dniu rozliczenia. Ważnym aspektem w zakresie zarządzania ryzykiem rozliczeniowym były przygotowania do wdrożenia nowego zintegrowanego systemu zarządzania ryzykiem opartego na metodologii SPAN, którego realizacja została zaplanowana na rok 2009. Potrzeba wprowadzenia w KDPW S.A. nowego systemu obsługującego proces tzw. gospodarki własnej firmy stanowiła przyczynę intensyfikacji prac związanych z wdrożeniem zintegrowanego systemu zarządzania przedsiębiorstwem klasy ERP. Jest to system informatyczny zbudowany na jednolitej platformie technologicznej, który nie tylko wprowadza zmiany w organizacji pracy, ale także zwiększa efektywność realizowanych procesów. The New Depository- -Set tlement System The most important and largest project being realised by KDPW, since the beginning of its operational history, is the implementation of the New Depository- Settlement System. 2008 saw intensive preparations being made, both by KDPW and all entities interacting with it, with the aim of implementation of the project. The project has as yet no rival in the Polish capital market. It is an unprecedented exercise, owing to the number of entities involved in its implementation, as well as the scale of the changes being introduced. Once realised, it will certainly lead to improved levels of safety for market participants, as well as ensuring that the Polish financial market will become more attractive on the international stage. 20
21 W 2008 roku prowadzone były intensywne prace związane m.in. z przygotowaniem platformy sprzę towo-systemowej, wypracowaniem propozycji zmian do regulacji KDPW i tabeli opłat. Przez cały rok odbywały się także testy systemu, podczas których sprawdzano prawidłowość przebiegu wszystkich procesów i funkcjonalności NSDR. Testy Nowego Systemu Depozytowo-Rozliczeniowego Intensive work was carried out in 2008 in particular on preparing the hardware and system platform, preparing proposed amendments to the KDPW Rules of Operation and to the KDPW Table of Fees. The system was also tested throughout the whole year, which verified whether all the new system processes and functionality were operating correctly. New Depository-Settlement System tests One of the most important exercises in preparation for the implementation of the New Depository- -Settlement System were tests which were performed consistently with the participation of all KDPW users. The results of the tests helped determine the final configuration of the new system and also the degree of readiness of specific entities for implementation. KDPW prepared special processes to monitor participant readiness for system implementation, using the test results to provide up to date analysis of any problems involved with the project and help their removal. Jednym z najważniejszych działań przygotowawczych do wdrożenia NSDR są testy, które prowadzone były w sposób systematyczny, z udziałem wszystkich uczestników KDPW. Ich wyniki pozwoliły na ustalenie ostatecznej konfiguracji NSDR oraz sprawdzenie poziomu przygotowania poszczególnych podmiotów do wdrożenia systemu. Krajowy Depozyt opracował specjalne mechanizmy umożliwiające monitorowanie przygotowań uczestników do wdrożenia NSDR, w szczególności poprzez wyniki testów, pozwalających na bieżącą analizę problemów związanych z tym projektem, a w konsekwencji ich eliminację. Nowa struktura opłat W roku 2008 opracowano Tabelę Opłat KDPW w zmienionej strukturze, uwzględniającą nowe funkcjonalności, które zostaną wprowadzone wraz z wdrożeniem Nowego Systemu Depozytowo-Rozliczeniowego. Tabela zawiera również opłaty za świadczenia o charakterze technicznym, np. za obsługę komunikatów. Szczegółowy opis zmian, wraz z komentarzami, znajduje się na www.kdpw.pl. Zmiany w regulacjach KDPW W 2008 roku opracowano konieczne w związku z wdrożeniem NSDR zmiany w regulacjach KDPW, uwzględniające m.in. uczestnictwo w KDPW, ewidencję instrumentów finansowych, rozliczenia i rozrachunek oraz obsługę realizacji zobowiązań emitentów. W związku z tym wprowadzono zmiany do Regulaminu KDPW, Szczegółowych Zasad Działania, Regulaminu Funduszu Rozliczeniowego oraz Regulaminu Funduszu zabezpieczającego rozliczenia transakcji zawartych w alternatywnym systemie obrotu organizowanym przez Giełdę Papierów Wartościowych w Warszawie S.A. Jednym z najważniejszych europejskich projektów, zmierza ją cych do ujednolicenia rynku rozliczeniowo- -rozrachunkowego, jest Code of Conduct. New Table of Fees In 2008, the KDPW Table of Fees was revised to include new functionality that will be introduced following the implementation of the New Depository-Settlement System. Changes to the KDPW Rules In 2008, amendments were prepared to KDPW regulations that were necessary in order to incorporate changes being introduced by the implementation of the new system. Amendments cover in particular participation in KDPW, registration of financial instruments, clearing and settlement and processing of corporate actions. As a result, amendments were introduced to the KDPW Rules of Operation, the Detailed Rules of Operation, the Rules of the Settlement Guarantee Fund and the Rules of the Guarantee Fund to secure the settlement of transactions executed in the alternate trading system operated by the Warsaw Stock Exchange. 22
23 Harmonizacja Przedstawiciele Krajowego Depozytu przez cały 2008 rok, podobnie jak w latach ubiegłych, aktywnie uczestniczyli w pracach międzynarodowych grup roboczych, których zadaniem jest opracowanie i implementacja najlepszych standardów w zakresie usług rozliczeniowo-rozrachunkowych. Udział w pracach nad implementacją Code of Conduct Harmonisation Representatives of KDPW have throughout 2008 been continuously and actively taking part in the work of international working groups, with the aim of formulating and implementing the highest standards in clearing and settlement services. Participation in work involving the implementation of the Code of Conduct One of the most important European projects aimed at creating a harmonised clearing and settlement infrastructure in the EU markets is the Code of Conduct (CofC). The signatories of the Code, adopted in 2006 are the Federation of European Securities Exchanges FESE; The European Association of Central Counterparty Clearing Houses EACH; and the European Central Securities Depositories Association ECSDA. All ECSDA member CSDs that have signed the Code have committed themselves to introducing provisions on price transparency, access and interoperability and unbundling of services and accounting separation before 1 January 2008. In 2008, KDPW prepared and sent ECSDA and EACH the General Implementation Report for 2007, which outlines the level of implementation of the Code of Conduct in relation to price transparency and access and interoperability. As part of the project undertaken by the European Commission aimed at a detailed price, cost and turnover analysis for services provided by European stock exchanges and CSDs, KDPW has completed the relevant questionnaires in relation to its functions as a central securities depository and a central counterparty clearing house. Jednym z najważniejszych europejskich projektów, zmierzających do ujednolicenia rynku rozliczeniowo-rozrachunkowego, jest Code of Conduct. Sygnatariuszami Kodeksu, przyjętego w 2006 roku, są: Federacja Europejskich Giełd Papierów Wartościowych (Federation of European Securities Exchanges FESE), Europejskie Stowarzyszenie Izb Rozliczeniowych Centralnych Kontrpartnerów (European Association of Central Counterparty Clearing Houses EACH) oraz Europejskie Stowarzyszenie Centralnych Depozytów Papierów Wartościowych (European Central Securities Depositories Association ECSDA). Wszystkie instytucje członkowskie ECSDA, będące sygnatariuszami Kodeksu, zobowiązały się wprowadzić do 1 stycznia 2008 roku wytyczne dotyczące: przejrzystości cen i usług (price transparency), dostępu i interoperacyjności (access and interoperability), rozdzielenia usług rozrachunkowych i rozliczeniowych oraz oddzielnej księgowości (unbundling of services and accounting separation). W 2008 roku Krajowy Depozyt przygotował i przekazał do ESCDA i EACH raport General Implementation Report za rok 2007, obejmujący poziom implementacji Code of Conduct w zakresie przejrzystości cen i usług oraz dostępu i interoperacyjności. W związku z projektem podjętym przez Komisję Europejską, którego celem jest dogłębna analiza cen, kosztów oraz obrotów w zakresie usług świadczonych przez europejskie giełdy i instytucje depozytowo-rozliczeniowe, KDPW S.A. wypełnił kwestionariusze dotyczące swojej działalności w zakresie centralnego depozytu papierów wartościowych Central Security Depository (CSD) oraz centralnej strony rozliczeniowej Central Counterparty (CCP).
