6 Section III : Legal, economic, financial and technical information III.1) Conditions relating to the contract: III.1.1) Deposits and guarantees required: (if applicable) Prior to the deadline for submission of bids, the Contracting Entity shall request the Economic Operator to submit a bid bond (deposit) in the amount of: PLN (in words: three hundred thousand zlotys) in one of the forms specified in the Article 25 section 3 of the Rules of Preparing and Conducting Contract Award Procedures Based on EU Directive by Companies of EDF Group in Poland (hereinafter: the Rules). Note: at the stage of submitting applications to participate in the proceeding, the bid bond (deposit) is not required. Performance Bond is required when signing the contract. III.1.2) Main financing conditions and payment arrangements and/or reference to the relevant provisions governing them: Detailed conditions and dates of payments for the Works being the object of the award shall be defined in the draft contract to be provided to selected participants at the later stage of the proceedings. III.1.3) Legal form to be taken by the group of economic operators to whom the contract is to be awarded: (if applicable) Candidates may be either an individual company or a group of companies. Economic Operators competing jointly for the award should appoint a proxy acting based on power of attorney (being one of the consortium members or a third party) to represent them in the proceedings, or to represent them in the proceedings and to conclude the contract. It is recommended that the power of attorney clearly defines the proceedings to which it refers and the range of activities to which the attorney is authorized. It shall also indicate the attorney, and all the Economic Operators who have jointly applied for the contract. The power of attorney must accompany the application for admission to participate in the proceedings, signed by authorized persons, as an original document or a. copy certified by a public notary. Economic Operators acting jointly shall be jointly and severally liable for the obligations arising from the contract. Before concluding the contract the Contracting Entity will require the consortium agreement of Economic Operators jointly applying for the contract to be submitted. The assessment of Economic Operators will be conducted on the basis of provided documents and statements. The Economic Operators who will not meet the requirements will be excluded from proceedings. 7 In confirmation of fulfillment of conditions for participation in the proceedings, the Economic Operator shall submit: a) Statement of compliance with the conditions laid down in Article 9 sec. 3 of the Rules, i.e., that the Economic Operators meets the conditions relating to: - holding a permission to perform specific work activities or actions, if laws are required by their possession, - having knowledge and experience, - having appropriate technical capacity and personnel capable of performing the contract, - economic and financial situation, - requirements concerning work safety and hygiene and environment protection in business activity, - reliability and correctness of performance of contracts so far entrusted to the economic operators by any of EDF Group companies in Poland and around the world. (Note: For Economic Operators jointly applying for the award of the contract, the statement can be filed jointly by the members of the consortium). Based on the template provided by the Contracting Entity on the website of the Contracting Entity b) Statement of the Economic Operator, confirming that: - the Economic Operator, and any of its dominant entities within the meaning of the Accountancy Act dated 29 September 1994 are not and/or are not becoming bankrupt or insolvent, going into liquidation, having a receiving or administration order made against them, compounding with their creditors, or carrying on business under a receiver, trustee or manager for the benefit of their creditors, or any act done or event occurring which(under any applicable laws) as a similar effect to any of these acts or events; and - the Economic Operator shall satisfy its payment obligations; - the Economic Operator is not in arrears with payment of taxes, or certificate that he obtained an exemption, deferral or payment in installments of overdue payments or suspension in whole of the execution of the decision of the competent authority; - against the Economic Operator no judicial decision was issued concerning a ban on application for contract award based on regulations concerning collective entities liability for acts prohibited under penalty; - the Economic Operator is not in arrears with payment of health and social security insurance contributions, or confirmation that he obtained an exemption, deferral or payment in installments of overdue payments, or suspension in whole of the execution of the decision of the competent authority; - the Economic Operator has not been convicted for anything related to its professional integrity and behavior; - the Economic Operator has not committed a serious professional misdeed; - the Economic Operator is not in conflict of interest with the objectives of the Contracting Entity. - all documents submitted throughout the tendering process must be regarded as compatible with the original. Based on the template provided by the Contracting Entity on the website of the Contracting Entity (Note 1: For Economic Operators jointly applying for the award of the contract, the documents should be filed by each of the members of the consortium) Any time prior to the selection of the most advantageous tender, the Contracting Entity may require Economic Operators to evidence him the statement described above by the means of submitting documents required by the Contracting Entity which prove the items specified in this statement. If the Contracting Entity finds failure to comply by the Economic Operator on the basis of documents or refusal to submit required documents it may lead to exclusion of the Economic Operator from the proceedings. c) Recent extract from the register, if separate regulations require registration, to demonstrate that there are no grounds for exclusion under Article 30 sec. 1 item (b) of the Rules, issued not earlier than 6 months before the deadline for filing applications for participation in the proceedings. (Note 2: For Economic Operators jointly applying for the award of the contract, the documents should be filed by each of the members of the consortium) (Note 3: If the Economic Operators are established or having a place of residence outside of the Republic of Poland, then the Economic Operator shall submit the appropriate document or documents issued in the country in which he has his registered office or has a place of business. 8 they shall be replaced by a document containing a statement made before a notary public, competent judicial, administrative authority in the country in which he has his registered office or has a place of business.) EVALUATION CRITERIA Qualifying evaluation shall be made on the basis of required documents and declarations, according to the criterion: meets or does not meet the criterion. In case of entities jointly submitting an application for participation in the proceedings, their capacity will be evaluated jointly. The Contracting Authority reserves the right to qualify for the next stage of the tender procedure no more than five Economic Operators who meet the conditions of participation, in accordance with the evaluation procedure specified below. III.2.2) Economic and financial ability: Information and formalities necessary for evaluating if the requirements are met: Economic Operators may apply for a contract awarding if they satisfy all the following conditions: A. Economic Operators who within the last 3 (three) business years before the deadline for filing applications for participation in the proceedings or if the time in which they run their business is shorter - in such a time - have obtained an average annual turnover not lower than 40,000, EUR (say: forty million euro); and B. Economic Operators who have financial resources or creditworthiness of at least 10,000, EUR (say: ten million euro); and C. Economic Operators who have current third party liability insurance covering their activities related to scope of the award in an amount not lower than 10,000, EUR (say: ten million euro). In case of entities jointly submitting an application for participation in the proceedings, their capacity will be evaluated jointly. The Economic Operator shall submit the following documents in order to prove that he meets the conditions specified for participants in the proceedings and described above: Add.A. Financial statement or relevant part of the financial statement (i.e. at least annual balance sheet and income statement) for the last 3 (three) business years before the deadline for filing applications for participation in the proceedings, or if the time in which the Economic Operator runs his business is shorter for such a time, confirming an average annual turnover not lower than 40,000, EUR (say: forty million euro); if the financial statements are subject to audit, the chartered auditors opinion has to be enclosed in compliance with accountancy regulations; in the case where Economic Operators are not obliged to prepare financial statements, other documents confirming their turnover shall be submitted; Ad.B. 9 account, that confirms the amount of financial resources or creditworthiness of at least 10,000, EUR (say: ten million euro), issued not earlier than 3 months before the deadline for filing applications for participation in the proceedings. Add.C. Paid-in insurance policy or, in the absence of such policy, another document confirming that the Economic Operator has a third party liability insurance in place covering his activity in the scope of conducted business activity connected with the scope of the award for the amount not lower than 10,000, EUR (say: ten million euro). In the case when there is no possibility to check that such document was paid-in, the Economic Operator shall provide evidence of payment of the insurance policy. Qualifying evaluation in letters A,B, and C shall be made on the basis of required documents and declarations, according to the criterion: meets or does not meet the criterion. If more than five Economic Operators pass these absolute criteria then Contracting Authority will apply a point system and award points for application as follows: - One point for every full 10,000, EUR (say: ten million euro) above the minimum requirement of 40,000, EUR (say: forty million euro) turn over - One point for every 1,000, EUR (say: million euro) above the minimum requirement 10,000, EUR (say: ten million euro) of creditworthiness - One point for every 1,000, EUR (say: million euro) above the minimum requirement 10,000, EUR (say: ten million euro) of current third party liability insurance III.2.3) Technical capacity: Information and formalities necessary for evaluating if the requirements are met: I. Economic Operators may apply for a contract awarding if they satisfy all the following conditions: 1. The Economic Operators who have performed (as a general contractor or a contractor or a sub-contractor, or a member of a consortium performing the role of a general contractor or a contractor) over the past 8 years before the deadline for filing applications for participation in the proceedings, or if the time in which the Economic Operator runs his business is shorter - in such shorter time, at least 2 projects in power generating industry according to European norms and standards (or equivalent), comprising civil works, flue gas ducts prefabrication and assembly piping, structural steel works, electrical installations, and DCS systems with a total value of minimum7,000, EURO (say: seven million EUR) each. 2. The Economic Operators shall demonstrate having implemented, licensed and maintained a quality management system according to the standard EN EN Standard form 05 - Contract notice utilities 9 / 20

10 ISO9001, an environmental management system according to the standard ISO14001 and a health and security management systems according to a) OHSAS 18001, or (alternatively) b) MASE, or (alternatively) c) VCA - or other equivalent systems of quality, environmental, health and security management. In case the Economic Operators have not implemented and maintained systems according to above mentioned standards, and thus present their own (equivalent) system, as the minimum requirement within this area, such equivalent system shall have been applied for at least one year with documented relevant policy and records allowing to confirm its implementation. 3. The Economic Operators shall provide safety statistics for the last three full calendar years. II. Documentation to be provided by the Economic Operators in order to justify the compliance to the technical qualification criteria: Add 1. A table with the list of projects performed properly, in the scope and time frame defined in item I condition 1 above. The table shall contain the following information: Project name Project start date, end date Owner name and contact details Project location Main contractor s name (if the Economic Operator has worked as a subcontractor of a main contractor) Scope of works, Price of the work the Economic Operator was responsible for List of activities subcontracted by the Economic Operator submitting the application. Add 2. Copies of the valid (i) EN ISO9001, (ii) ISO14001 and (iii) OHSAS 18001, or (alternatively) MASE, or (alternatively) VCA - or equivalent certificates certified by the Economic Operators as true copies. Add 3. A table with number of accidents at work and average number of employees separately for each of the last free calendar years. Content of the table shall not be a subject of qualitative evaluation. In case of consortium each member of the consortium shall provide such table. Any time prior to the selection of the most advantageous tender, the Contracting Entity may require Economic Operators to evidence him the statement described above by the means of submitting documents required by the Contracting Entity which prove the items specified in this statement. If the Contracting Entity finds failure to comply by the Economic Operator on the basis of documents or refusal to submit required documents it may lead to exclusion of the Economic Operator from the proceedings. 11 Qualifying evaluation in points 1,2 shall be made on the basis of required documents and declarations, according to the criterion: meets or does not meet the criterion. If more than five Economic Operators pass these absolute criteria then Contracting Authority will apply a point system and award points for application as follows: One point for every full 1,000, EUR above the minimum requirement of the total 14,000, EUR value (2 projects of EUR each) Based on the assessment of applications for admission to participate, Contracting Authority reserves the right to qualify for the next stage of the tender procedure no more than five Economic Operators who meet the conditions of participation and received the highest number of points calculated in the manner mentioned above in section III 2. 2) Economic and financial capacity and in section III 2. 3) Technical capacity. For the avoidance doubts, points related to III 2. 2) Economic and financial capacity and points related to section III 2. 3) Technical capacity will be added in order to rank the Economic Operators having passed the absolute criteria, and to qualify the five Economic Operators with the highest number of points, in case the Contracting Authority wishes to exercise this right. The procedure shall be held in English and/or Polish language, at the discretion of the Contracting Authority. The Contract Notice and other documents are available in English and Polish language. The further documentation will be issued in Polish and/or English language, at the discretion of the Contracting Authority. In case of any discrepancies between the two language versions of the documents provided by the Contracting Authority, the English version shall prevail. 4. Application must be accompanied by all documents and statements referred in this Contract Notice. Application form must be signed by an authorized representative of the Economic Operator or Economic Operators jointly applying for participation in the procedure. Power of attorney to sign the Application has to be attached to the Application if the authorization to represent the Economic Operator is not clear from other documents submitted with the Application (e.g. registration documents). The contents of the power of attorney should clearly identify scope of the authorization. A power of attorney shall be submitted in writing (original) or in a copy certified by a notary public. 5. Application form and other enclosures should be completed according to the requirements established in the Contract Notice without changing the contents of these documents. Contracting Entity allows to submit the documents on the forms prepared by the Economic Operators, provided that their contents and information will correspond to requirements established in the contract notice or the entry forms specified by the Contracting Entity. If the Economic Operator runs out of space in the annexes, such annexes must be accompanied with additional pages. Each page of the Application and the annexes should be numbered. 6. In the case of a document in languages other than English and/or Polish, the Economic Operators shall include a translation into English and/or Polish. 7. If an Application is made jointly by several Economic Operators, such Economic Operators should obey the rules mentioned in Section III.1.3) of the Contract Notice. 8. The Application with relevant attachments to the Application must be legible, drawn in a written form, in English or Polish for its original hard copy. All pages of the application and documents submitted with the application should be numbered consecutively. The Application should be filed in a package preventing the content from being viewed before the expiry of the deadline for submitting applications. A package must bear a stamp or note containing the Economic Operator s name and registered address and the following Supply, construction, assembly, commissioning and start-up of a flue gas duct installation for EDF Polska S.A. at Rybnik Plant. The original version of application with documents and statements in hardcopy shall obligatorily be submitted in the following manner: in English or Polish and its copy in an electronic form (on a CD version of the application containing scan of the original hardcopy along with the written application) in the pdf format. In case of any differences in the contents between the counterparts submitted in electronic and hardcopy versions, the Contracting Entity will take into account the hardcopy for the purpose of the evaluation. The information contained in the Application, which is the secret of the company within the meaning of the Act of 16 April 1993 on combating unfair competition, which the Economic Operators has reserved no later than the deadline for submission of Applications, that may not be available, must be submitted in a separate envelope marked clause: Do not share - information constituting a business secret in the meaning of Article 11 sec. 4 of the Act on combating unfair competition. 11. The Contracting Entity: EDF Polska S.A. 12.In the case of amounts denominated in currency other than euro, to confirm the fulfillment of the conditions stipulated in Section III.2.2) and III.2.3), the stated amounts will be converted by EDF from such currency into the euro equivalent at the European Central Bank s mid exchange rate of the date of publication of this notice in the Official Journal of the European Union stating the value in euro (and if the European Central Bank s mid exchange rate of the date of publication of this notice in the Official Journal of the European Union is not available, the stated amounts will be converted by EDF from the other currency into the euro equivalent at the European Central Bank s mid exchange rate prevailing most recently before the date of publication of this notice). 13.Any additional statements, notifications and information shall be provided by the Contracting Entity and Economic Operators in writing, or by fax. 14. In order to fulfill the conditions for participation in the contract award procedure, the Economic Operator may rely on other entities, irrespective of the nature of their legal relationship, as per conditions determined in the contract notice. In such case, the Economic Operator is required to prove to the Contracting Entity that he shall dispose of the resources necessary to perform the contract, in particular by presenting to this end a written commitment of those entities whereby they undertake to put the necessary resources at the Economic Operator s disposal for the time of their use in performance of the contract. The Contracting Entity may require that the entity which the Economic Operator relies upon in respect of the fulfillment of conditions for participation in the award procedure shall take part in the execution of the contract as a subcontractor. Should the above mentioned third entity not meet all terms and conditions for participation in the procedure as listed in II.2.2 which shall be demonstrated in the application, the Contracting Entity shall be entitled to exclude this Economic Operator from the procedure. 15. The Contracting Entity may require from the Economic Operators to make representations or submit documents confirming that Economic Operator and his subcontractors meet conditions for participation in the procedure at each stage of the tender proceeding. 16. Any time prior to the selection of the most advantageous tender, the Contracting Entity may require Economic Operators to enable him to perform a technical, financial and organizational audit in order to examine and confirm whether a given Economic Operator or his subcontractors dispose of indispensable resources ensuring proper execution of the contract.
