Information on the occurrence of trends and events in the market environment of the Issuer, which in the Issuer s opinion may have important consequences in the future for the financial condition and results of the issuer. The month of May was marked by our focus on the international expansion and strengthening our internal structures. Photon Energy officially entered the German market, fine-tuned its strategy for the Italian market and researched opportunities in Australia. Simultaneously Photon Energy expanded its senior management team and re-defined the roles of the current management in order to facilitate the further growth of the Company. The power plant portfolio continued its outperformance against projections during May. The summary of the most important events in May include: 1. Generation results of the proprietary portfolio exceeded by 29% the year-todate projections, on average; 2. Recruitment of internationally experienced CFO and COO; 3. The establishment of three new subsidiaries in Germany, the recruitment of the Country Head and the acquisition of the first 1 MWp project; 4. The approval of the Conto Energia 4, which regulates the support of renewable energy sources in Italy and the rejection of nuclear energy in the national referendum; 5. Filling the first bid in a public tender in Australia; 6. Amendments of the Czech Energy Act without significant impact on the economic fundamentals of Photon Energy s portfolio in the Czech Republic; 7. A press conference held in Warsaw after the publication of the 2011Q1 financial results and followed by an online Investors meeting with the CEO, Georg Hotar. 1. Informacje na temat wystąpienia tendencji i zdarzeo w otoczeniu rynkowym Emitenta, które w ocenie Emitenta mogą mied w przyszłości istotne skutki dla kondycji finansowej Spółki oraz wyników finansowych. Miesiąc maj był miesiącem koncentracji na ekspansji międzynarodowej oraz wzmacniania wewnętrznych struktur Grupy. Photon Energy oficjalnie wkroczył na rynek niemiecki, dopracował strategię ekspansji na rynku włoskim oraz szczegółowo przeanalizował możliwości na rynku australijskimi. Jednocześnie aby umożliwid dalszy wzrost Grupy, rozszerzony został zespół doświadczonych menedżerów oraz przedefiniowane zostały role dotychczasowych. Portfel elektrowni własnych ponownie przekroczył założenia produkcyjne. Reasumując, najważniejsze wydarzenia w maju to: 1. Wyniki produkcyjne portfela projektów własnych przekroczyły prognozy o średnio 29% od początku roku; 2. Zatrudnienie Dyrektora ds. Finansowych oraz Dyrektora ds. Operacyjnych; 3. Powołanie trzech spółek zależnych w Niemczech, zatrudnienie Dyrektora na rynek niemiecki oraz nabycie pierwszego projektu o mocy 1 MWp; 4. Przyjęcie aktu prawnego Conto Energia 4, zapewniającego wsparcie energetyki odnawialnej we Włoszech oraz odrzucenie energetyki nuklearnej w referendum narodowym; 5. Złożenie pierwszej oferty w przetargu publicznym w Australii; 6. Nowelizacja ustawy Prawo Energetyczne bez znaczącego wpływu na założenia ekonomiczne projektów w portfelu Photon Energy w Czechach. 7. Konferencja prasowa w Warszawie poświęcona publikacji wyników kwartalnych za 2011Q1 oraz czat inwestorski z Dyrektorem Zarządzającym Page 2 of 10

3 Ad 1. The proprietary portfolio of Photon Energy recorded a solid 19% outperformance against monthly estimates and a 29% outperformance against the YTD forecast. The total output increased by 22% m-o-m while specific performance ratio (generation in KWh per one KWp of installed capacity) increased by 69% y-oy (for details see pages 5-7). Ad 2. The Company strengthened its senior management team and hired two internationally experienced professionals for the positions of Chief Financial Officer and Chief Operating Officer. At the same time, the roles of current management were re-defined and the new roles of Chief Technology Officer and Head of Group Corporate Management were added. The enlargement of the management team is intended to enable the continued fast growth of the business and expansion into new markets. More details on changes and additions to Photon Energy s senior management can be found in EBI report Nr 31/2011. Ad 3. In May Photon Energy expanded its business into Germany, where the company established three new subsidiaries dedicated to project acquisition and development, engineering and the operations and maintenance of solar power plants. The recruitment of the Country Head for Germany, who has extensive experience with financing renewable energy projects and worked as independent international consultant for solar energy projects in Germany and Emerging Europe was a key step in Photon Energy s market entry. Last not least, Photon Energy acquired project rights for the construction of a 1 MWp photovoltaic power plant located on a reclaimed waste dump in Ellrich. The project is scheduled to be completed in August in order to secure the current feed-in-tariff of EUR0.2207/kWh. Ad 4. In Italy the Conto Energia 4 was finally passed on 6 May The new act dispelled uncertainties and unfroze the market which was awaiting the legislation since February. The key aspects of the new Energy Bill include: a) the definition of small rooftop installations a plants p. Georgem Hotarem. Ad 1. Wyniki produkcyjne portfela projektów własnych Photon Energy odnotowały znaczącą nadprodukcję przekraczając prognozy miesięczne o ponad 19% oraz zakumulowane prognozy od początku roku o średnio 29%. Całkowita produkcja wzrosła o 22% z miesiąca na miesiąc podczas gdy wydajnośd mierzona wskaźnikiem produkcji na 1 kwp mocy wzrosła o 69% r/r (więcej szczegółów na stronach 5-7). Ad 2. Spółka wzmocniła swój zespół zatrudniając, posiadających międzynarodowe doświadczenia menedżerów, na stanowiskach Dyrektora Finansowego oraz Dyrektora ds. Operacyjnych. Jednocześnie zmianom uległ zakres obowiązków obecnych członków menedżmentu. Utworzono również dwa nowe stanowiska tj. Dyrektora ds. Technologii oraz Dyrektora ds. Struktury Korporacyjnej Grupy. Głównym celem rozszerzenia menedżmentu była koniecznośd stworzenia warunków dalszego wzrostu Grupy oraz ekspansji na nowe rynki. W maju Photon Energy rozpoczął działalnośd na rynku niemieckim gdzie utworzone zostały trzy spółki zależne, które zajmą się pozyskiwaniem nowych projektów, działalnością deweloperską, pracami inżynieryjnymi oraz utrzymaniem i konserwacją instalacji fotowoltaicznych. Zatrudnienie Dyrektora na rynek niemiecki, posiadającego szerokie doświadczenia w zakresie eneregtyki odnawialnej oraz przy projektach budowy elektrowni słonecznych w Niemczech i Europie wschodniej, było kluczowym elementem strategii wejścia Spółki na ten rynek. Należy również nadmienid, że w maju Photon Energy nabył pierwszy projekt w Niemczych tj. prawa do budowy elektrowni słonecznej o mocy 1 MWp zlokalizowanej na terenach rekultywowanych po składowisku odpadów w Ellrich. Aby zebezpieczyd obecne taryfy gwarantowane w wysokości EUR0.2207/kWh, zakooczenie projektu zaplanowane zostało na sierpieo br. Ad 4. We Włoszech, Conto Energia 4 zostało Page 3 of 10

4 with an installed capacity of up to 1 MWp, which are excluded from the annual cap; b) an extended catalogue of projects eligible for Premium Tariffs, including plants replacing asbestos roofs which are granted additional 0.05 euro/kwh above the regular tariff; c) a stringent procedure of registration for projects above 1 MWp with the Italian Energy Regulator - GSE; d) the introduction of a compensation scheme for PV investors in case the connection to the grid takes longer than 30 days. In the light of the introduced changes the key focus of Photon Energy will be on: a) the acquisition of projects (either ground-mounted or greenhouses) and; b) the acquisition or development of rooftops of a total capacity up to 1 MWp. Asbestos roof-top installations will be an interesting sub-segment until year-end 2013 as the owners of buildings with asbestos rooftops are required to replace them by that date. As many of them lack the resources or willingness to invest in the removal of the asbestos roof, this segment represents a major window of opportunity for Photon Energy. On 12/13 June a national referendum was held to decide on the future of nuclear energy in Italy. The Italian voters clearly rejected the nuclear option with a smashing majority of 95% of the votes. This is a clear signal to the government that the Italian public strongly prefers renewable energy sources. Ad 5. Photon Energy also increased its activities on the Australian market in May. A team was dispatched to Australia in order to gain firsthand understanding of the market situation and to identify project opportunities. Several projects are under review and the first offer in a public tender for the Cloncurry Solar Farm (Cloncurry Shire Area) was submitted. The project scope includes the design, construction, maintenance and operation of a commercially viable photovoltaic plant for the period of at least 20 years. The short list of bidders shall be published in late July. Ad 5. On 6 May 2011 the Czech Parliament approved an amendment to the Energy Act, ostatecznie przyjęte 6 maja 2011 r. Ogłoszony akt rozwiał wątpliwości oraz odmroził rynek, który oczekiwał nowych przepisów już od lutego br. Najważniejsze regulacje dotyczą: a) definicji małych instalacji dachowych do 1 MWp mocy, które zostały wyłączone z rocznego limitu; b) rozszerzenie katalogu projektów objętych tzw. tryfami premiowymi, w tym elektrownie dachowe zastępujące dachy z azbestu, które otrzymały dodatkowo 5 eurcentów/kwh premii powyżej obowiązującej taryfy; c) zaostrzenie procedury rejestracji projektów powyżej 1 MWp w GSE tj. regulatora rynku energii we Włoszech; d) wprowadzenie systemu rekompensat dla inwestorów w przypadku gdy podłączenie do sieci trwa więcej niż 30 dni. W świetle wprowadzonych zmian, kluczowe punkty strategii wzrostu na rynku włoski obejmują: a) pozyskanie projektów (naziemnych lub cieplarni) oraz; b) pozyskanie lub rozwój projektów dachowych o całkowitej mocy do 1 MWp. Dachy z azbestu będą ciekawym podsegmentem rynku do kooca 2013 roku w związku z tym, że ich właściciele zobowiązani są do usunięcie azbestu przed tym terminem. Ponieważ wielu z nich nie ma środków, kompetencji oraz chęci do podjęcia tego typu inwestycji, segment ten stwarza ogromne pole możliwości dla Photon Energy. W dniach czerwca odbyło się referendum w sprawie energetyki nukleranej, które miało zadecydowad o przyszłości atomu we Włoszech. Włoskie społeczeostwo odrzuciło opcję atomu z miażdżącą przewagą 95% głosów. Wynik ten jest jasnym sygnałem dla rządu, że włoska opinia publiczna wyraźnie preferuje energię ze źródeł odnawialnych. Ad 5. Photon Energy zaktywizował również swoje działania na rynku australijskim. Zespół specjalistów wysłany został do Australii w celu zdobycia wiedzy z pierwszej ręki na temat sytuacji na tamtejszym rynku oraz identyfikacji ciekawych projektów inwestycyjnych. Kilka projektów jest obecnie przedmiotem analizy natomiast złożona została pierwsza oferta w przetargu publicznym na farmę słoneczną Concurry Solar Farm (w regionie Clonncurry Page 4 of 10

5 which allows the grid operators to limit the output or even disconnect PV plants from the grid, in case of risks to the security and/or operational stability of the grid as well as some other measures which we described in detail in the previous Monthly report published on 14 May Ad 6. On 16 May in Warsaw, Photon Energy held a press conference following the publication of 2011Q1 results. On the following day an online meeting with investors was held. Zakres projektu obejmuje przygotowanie dokumentacji technicznej, wykonanie instalacji oraz jej późniejsze utrzymanie i konserwacja w okresie co najmniej 20 lat. Krótka lista ofertentów zostanie opublikowana w lipcu. Ad 6. W dniu 6 maja br. Parlament w Czechach przyjął nowelizację ustawy Prawo Energetyczne, która daje operatorom sieci prawo autonomicznego ograniczenia produkcji elektrowni słonecznych lub nawet całkowitego ich odłączenia od sieci, w przypadku zagrożenia działania sieci i jej bezpieczeostwa jak również inne zmiany, które zostały szczegółowo opisane w poprzednim raporcie miesięcznym za kwiecieo opublikowanym w dniu 14 maja br. Ad 7. Dnia 16 maja, w związku z publikacją wyników za 2 kwartał 2011 r. odbyła się konferencja prasowa Photon Energy w Warszawie. W dniu następnym Dyrektor Zarządzający p. The ratio reflects the amount of KWh generated per 1 KWp of installed capacity and hence enables a simple comparison of year-on-year results and seasonal fluctuations during a year. Generation efficiency ratio measured as total generation output divided by the installed capacity / Wskaźnik efektywności produkcyjnej mierzony jako całkowita produkcja podzielona przez zainstalowane moce produkcyjne Due to unavailability of data, the ratio growth rate y-o-y could only be presented since January May was another month with very favorable weather conditions, which led nearly all our proprietary power plants in the Czech and Slovak Republics to noticeably outperform the power generation forecasts (the only exception being Babina in Slovakia). The average outperformance of Czech proprietary plants amounted to 24% against the forecast while the Slovak portfolio outperformed by 14% against the forecast. The Babina plant delivered results worse than forecast by approximately 10%. The year-to-date outperformance of Photon Energy s portfolio decreased from 34% reported in April to 29% in May. Ze względu na brak danych, stopa wzorstu wskaźnika r/r mogła być obliczona dopiero od stycznia 2011 r. Maj był kolejnym miesiącem o korzystnych warunkach pogodowych, które umożliwiły niemalże wszystkim naszym elektrowniom w Czechach i na Słowacji, znacząco przekroczyd prognozy (jedynym wyjątkiem była elektrownia Babina na Słowacji). Średnia produkcja elektrowni własnych w Czechach przekroczyła prognozy o 24% podczas gdy produkcja na Słowacji przekroczyła prognozy o średnio 14%. Elektrownia Babina zanotowała rezultaty gorsze od prognoz o koło 10%. W rezultacie, zakumulowane wyniki produkcyjne od początku roku przekroczyły prognozy o 29% wobec 34% na koniec kwietnia 2011 r.
